Nusano is seeking a motivated and detail-oriented Corporate Counsel to join the legal team. The ideal candidate will have strong experience in reviewing, drafting, and negotiating contracts and will be comfortable working across a wide range of legal issues while collaborating with cross-functional teams in a fast-paced, dynamic environment. This role will report to the Senior Corporate Counsel and requires an individual who understands how legal risk intersects with business operations and can deliver clear, actionable advice that supports strategic goals.

 

Responsibilities

What You'll Do:

 

Responsibilities:

  • Draft, review, and negotiate a wide variety of agreements, including vendor contracts, customer contracts, NDAs, SaaS agreements, terms and conditions, and strategic partnership deals.
  • Advise internal stakeholders on legal risks, compliance with laws and regulations, business strategies, and other issues related to commercial transactions and operations.
  • Support corporate governance and compliance efforts, including board and shareholder matters, regulatory filings, and policy development and implementation.
  • Assist with employment, privacy, intellectual property, and litigation matters, in coordination with outside counsel.
  • Develop and maintain internal legal processes, templates, training, and workflows to promote operational efficiency and risk mitigation.
  • Support strategic transactions, such as financings and fundraising.
  • Serve as a liaison between the Legal department and other parties, both internal and external.
  • Assist in developing and maintaining playbooks and other contract negotiation guidelines.
  • Manage the lifecycle of legal documents, including organization, storage, and execution processes, with an emphasis on efficiency, compliance, and use of e-signature tools.

Qualifications

Minimum Requirements:

  • Juris Doctorate degree
  • 5+ years of relevant legal experience at a law firm, in-house legal department, or a combination
  • Knowledge of contract principles such as limitation of liability, indemnification, and transfer of risk
  • Proven drafting skills
  • High attention to detail and superior reading comprehension skills
  • Impeccable recordkeeping and record retention skills
  • Excellent interpersonal, verbal, and written communication skills
  • Sense of urgency with ability to work well under pressure while juggling multiple priorities
  • Proficient in Microsoft Office Suite and Adobe Sign

Preferred Requirements:

  • Experience in the pharmaceutical or biotechnology industries
  • Experience working in a start-up or rapidly changing environment
  • Experience in migration to Contract Lifecycle Management software

Physical Requirements:

  • Work to be conducted in an office environment
  • Must be able to sit for long periods of time. Frequent use of computer with repetitive use of keyboard, mouse and manual dexterity.
